First thing does your Shapefile have a .prj file associated with it? If
not you need to assign your original shapefile a projection using
ArcToolbox. Then you should be able to reproject your data.=20

Also I have found some tools from Toolbox work better if run from
ArcCatalog than from ArcMap and some work better the other way. Not only
do some work better some give you different options in ArcMap and
ArcCatalog even though they are suppose to be the same tool.

I am having a problem reprojecting some shapefiles.  I
have several shapefiles in Albers and need to
reproject them in state plane.  I am using ArcMap 9.0.
 I have tried to project them in the toolbox and have
not had any luck.  I would appreciate any suggestions.
