shrug-l: Polygon Data to Point Table

I had a brain fa- - this morning and can't remember how to do this (should
be basic).

 

I have a shapefile table of point locations.  I also have a polygon layer of
zip codes & PO information.

 

I want to fill in the zip code and PO fields in the point file from the zip
code polys and can't remember how to do it with the least amount of effort.

 

Should be easy, but in the word of the Muppets, "My brain skipped a groove a
while back."
