shrug-l: Subtracting Shapefiles

Help!

It has to be Friday or I would have figured this out by now by myself!

I have one shapefile that is completely contained within a second shapefile.

I want to subtract the first shapefile from the second, creating a third
shapefile that is the outer shapefile minus the contained shapefile (e.g.,
the outer shapefile with a hole in it the size of the contained shapefile).

Suggestions?

I tried the Cartographic Mask tool and using buffers, neither worked right.
